Choice of Business Entity. Limited Liability is often an attractive feature of a corporation, limited liability company, limited partnership, and variations of these entities. Limited liability simply means that an owner’s liability is limited to that which he or she agreed to contribute to the entity. Rental real estate is commonly held in such an entity.
Tax Considerations. Tax considerations enter into the choice of entity under which a business is to be operated. A corporation making an election under Sub-Chapter S of the Internal Revenue Code and a limited liability company, for example, allow the “pass through” of income and deductions to the owners without income tax at the entity level.
